Partify — B2B Car Spare Parts Marketplace

These Terms & Conditions ("Terms") govern your access to and use of the Partify platform, a B2B car spare parts marketplace operated in Dubai, UAE. By registering for or using Partify, you agree to be bound by these Terms. If you do not agree, do not use the platform.

1. Definitions

"Platform" refers to the Partify mobile application and associated backend services
"Buyer" refers to a registered car repair shop or garage that submits part requests
"Supplier" refers to a registered spare parts dealer that submits offers in response to requests
"Escrow" refers to the payment protection system where funds are held until delivery is confirmed
"Commission" refers to the percentage fee charged to suppliers on completed transactions

2. Eligibility & Registration

To use Partify, you must:

Be a registered business entity in the UAE with a valid Trade License
Complete KYC verification by submitting your Trade License, Emirates ID, and TRN Certificate
Provide accurate and up-to-date business information — misrepresentation may result in account suspension

3. Requests & Offers

The platform operates on a request-and-bid model:

Buyers may have a maximum of 10 active requests at any time. Each request expires after 4 hours, with one extension allowed (+2 hours)
Suppliers may submit a maximum of 3 offers per request, with up to 2 counter-offer rounds per offer
All prices must be submitted in AED fils (integer values). Partify does not accept floating-point pricing
Accepting an offer creates a binding transaction — the buyer's funds are locked in escrow immediately

4. Escrow & Payments

Partify uses an escrow system to protect both buyers and suppliers:

When a buyer accepts an offer, the full amount (including 5% UAE VAT) is locked in escrow via PayTabs (AED, 3D Secure)
Funds are released to the supplier when the buyer confirms delivery
If the buyer does not confirm or dispute within 48 hours, funds are auto-released to the supplier
Refunds follow the dispute resolution outcome — full refund, partial refund, or release to supplier

5. Commission & Fees

Partify charges suppliers a commission on each completed transaction, based on cumulative GMV tiers:

Standard: 8% commission (0 – 100K AED GMV)
Silver: 6% commission (100K – 500K AED GMV)
Gold: 4.5% commission (500K – 1.5M AED GMV)
Platinum: 3% commission (1.5M+ AED GMV)

6. Disputes & Resolution

Partify provides a structured dispute resolution process:

Buyers may open a dispute within 48 hours of delivery confirmation, supported by photo evidence
Partify's admin team will review and resolve disputes within a 72-hour SLA
Each dispute allows 1 escalation. Resolution options include full refund, partial refund, or release of funds to the supplier

7. Prohibited Conduct

Users must not engage in the following activities on the platform:

Submitting fraudulent requests, offers, or KYC documents
Manipulating prices, ratings, or reviews to deceive other users
Circumventing the escrow system or attempting off-platform transactions
Using the platform for any unlawful purpose under UAE federal or emirate-level law

8. Limitation of Liability

Partify acts as a marketplace facilitator and is not a party to transactions between buyers and suppliers. We do not guarantee the quality, safety, or legality of parts listed on the platform. Our liability is limited to the commission fees collected on disputed transactions. Partify is not liable for indirect, incidental, or consequential damages arising from use of the platform.

9. Governing Law

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. Any disputes arising from these Terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via push notification and displayed on the platform. Continued use of Partify after changes are posted constitutes acceptance of the updated Terms.
